Systems Limited, one of Pakistan’s major software and technology companies, has announced its plan to acquire Confiz Pakistan (Private) Limited through a merger.
The development was disclosed in a notice submitted to the Pakistan Stock Exchange (PSX) on Thursday.
The company stated that its Board of Directors approved the acquisition on December 10, 2025, through resolutions passed via circulation.
The plan includes merging Confiz Pakistan and all its direct and indirect shareholdings within the Confiz Group of Companies into Systems Limited. This merger will proceed under a draft Scheme of Arrangement prepared under the Companies Act, 2017.
Under the proposal, Systems Limited shares will be issued to the shareholders of Confiz. The scheme still requires approvals from shareholders, creditors, regulators, and the Lahore High Court.
The notice added that the arrangement may be modified if required by authorities or if considered necessary during the process.
Confiz Pakistan is part of Confiz, a global technology services firm founded in 2005. The company specialises in digital transformation, cloud services, data and AI solutions, software development, and mobile applications for industries such as retail and fintech.
Systems Limited, founded in 1977 and listed on the PSX since 2015, works in software development and business process outsourcing.
The company helps organisations in their digital transformation and has a strong presence in Pakistan, as well as in the US, UK, EU, and Middle East.
The merger is expected to enhance Systems Limited’s capabilities and expand its reach in international technology markets.
